1. Acceptance of Terms

By accessing or using the Enrich Analytics platform and services provided by Assisted Living Analytics ("Company," "we," "our," or "us") at assistedlivinganalytics.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Enrich Analytics provides business intelligence and analytics services specifically designed for assisted living and senior care communities. Our services include data integration, dashboard creation, reporting, and analytics consulting. The specific features and functionality available to you depend on your service plan and agreement.

3. User Accounts

3.1 Account Creation

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Upload or transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any aspect of our services
• Use our services to collect, store, or transmit personal information without proper authorization
• Resell or redistribute our services without our express written consent

5. Intellectual Property

5.1 Our Property

The Enrich Analytics platform, including all software, content, graphics, logos, and trademarks, is owned by Assisted Living Analytics and protected by intellectual property laws. These Terms do not grant you any ownership rights in our intellectual property.

5.2 Your Data

You retain all ownership rights to the data you upload to our platform. By using our services, you grant us a limited license to process, analyze, and display your data solely for the purpose of providing our services to you.

6. Data Protection and HIPAA

We understand that senior living communities handle sensitive health information. Our services are designed to support HIPAA compliance, and we will enter into a Business Associate Agreement (BAA) with covered entities as required.

You are responsible for ensuring that your use of our services complies with HIPAA and other applicable privacy and security regulations. You agree not to upload Protected Health Information (PHI) unless you have a signed BAA with us.

7. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees according to the pricing and payment terms presented at the time of purchase or as specified in your service agreement.

• Fees are non-refundable except as expressly stated in your service agreement
• We may change our pricing with 30 days' advance notice
• Late payments may result in service suspension

8. Service Level and Support

We strive to maintain high availability of our services. Specific service level commitments and support terms are detailed in your service agreement. We reserve the right to perform scheduled maintenance, which may temporarily affect service availability.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTED LIVING ANALYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Assisted Living Analytics and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of our services or your violation of these Terms.

12. Term and Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use our services will cease immediately. We will provide you with a reasonable opportunity to retrieve your data, subject to the terms of your service agreement.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of our services after such notice constitutes acceptance of the modified Terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Assisted Living Analytics regarding our services
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect
• Assignment: You may not assign your rights under these Terms without our prior written consent
